1. Who We Are
These Terms of Service ("Terms") govern your use of the Statch mobile application ("App"), operated by the founders of Statch:

Together referred to as "Statch", "we", "us", "our".
The Statch name and logo are registered trademarks in Ukraine.

2. Acceptance of Terms
By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.
If you are using the App on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
3. The Service
Statch is a mobile application designed for small businesses, retailers, and anyone who sells products — whether online, offline, or both. The App allows you to:
License to use the App: Subject to these Terms, Statch grants you a limited, non-exclusive, non-transferable, revocable license to use the App for your internal business purposes.
We reserve the right to modify, suspend, or discontinue any part of the App at any time, with reasonable notice where possible.
4. Account Registration

You must be at least 18 years old to create an account. If we discover that an account holder is under 18, we reserve the right to terminate the account and delete all associated data.
5. Company Profile
After registration, you are required to create a company profile (company name and currency). This profile is used to configure the App for your business. You are responsible for the accuracy of your company data.
6. Your Data
You retain full ownership of all business data you enter into the App, including product information, warehouse data, orders, and photos ("Your Data").
By using the App, you grant us a limited, non-exclusive license to store, process, and display Your Data solely for the purpose of providing the service to you.
We do not sell Your Data to third parties. We do not use Your Data for any purpose other than operating and improving the App.
Third-party personal data: If you store personal data of your own customers or other third parties in the App (such as contact details in orders), you are the data controller for that data and are responsible for ensuring you have a lawful basis to collect and process it. Statch processes such data solely as your data processor in accordance with your instructions, applicable data protection laws (including GDPR where applicable), and our Privacy Policy.

We reserve the right to suspend or terminate accounts that violate these rules. Where reasonably practicable, we will provide at least 7 days' notice before termination and give you an opportunity to retrieve your data. Where termination is immediate due to serious violations, your data will be handled in accordance with our Privacy Policy and deleted on the same schedule as a standard account deletion.
9. Account Deletion
You may request deletion of your account from within the App at any time.

Data export: We do not currently offer an automated data export feature, though one is planned for a future release. In the meantime, if you need a copy of your data before deletion, please contact us at support@statch.io and we will assist you on a case-by-case basis. This is without prejudice to your right to data portability under GDPR (Article 20), where applicable.
Soft deletion within the App: When you delete entities within the App during normal use (such as products or warehouses that are referenced in existing orders), the system may retain certain records in a soft-deleted state to preserve the integrity of your historical data. This is separate from account deletion — upon full account deletion, all data including soft-deleted records is permanently purged.
10. Intellectual Property
The App, including its design, code, features, and the Statch name and logo, are the intellectual property of Statch and its founders. The Statch trademark is registered in Ukraine.
You may not use our name, logo, or trademarks without our prior written consent.
Nothing in these Terms transfers any intellectual property rights to you, other than the limited license to use the App as described herein.
11. Disclaimers
The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.
We do not warrant that:
You are responsible for maintaining independent backups of any critical business data stored in the App.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Statch shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the App, including but not limited to loss of profits, loss of data, or business interruption.
Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid us in the 12 months preceding the claim, or €100 if no payments have been made.
Consumer users: If you are a consumer within the meaning of applicable Polish or EU law, the limitations in this section apply only to the extent permitted by mandatory consumer protection provisions. Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Statch and its founders from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party arising from personal data you have stored in the App (including your customers' data).
14. Force Majeure
Statch shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure outages, third-party service failures, or other events outside our control. In such cases, our obligations under these Terms will be suspended for the duration of the event.
15. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of Poland and, where applicable, the laws of the European Union. This reflects that one of the operators is an EU-registered entity subject to Polish and EU law, including GDPR. GDPR obligations apply to Statch by virtue of its EU establishment, regardless of where the user is located.
Users based in Ukraine may also have rights under applicable Ukrainian consumer protection and civil law. We respect those rights and will not seek to exclude them through the choice of governing law.
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Warsaw, Poland.

16. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Statch regarding your use of the App and supersede all prior agreements, understandings, or representations relating to the same subject matter.
17. Changes to Terms
We may update these Terms from time to time. For material changes (such as changes to data handling or liability terms), we will notify you at least 30 days in advance via the App or by email (if available) and request your affirmative acceptance before the changes take effect. If you do not accept the updated Terms, you may stop using the App and request account deletion.
For non-material changes (such as clarifications, formatting, or minor wording adjustments), we will update the "Last updated" date at the top. Continued use of the App after such updates are published constitutes your acceptance of the changes.
